1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FusionOne Technologies (UEN: 53489630L), a Singapore-registered business ("Business," "we," "us," or "our"), governing your access to and use of our website, applications, and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Services Description

FusionOne Technologies provides technology consulting and software services, including but not limited to:

  • AI Automation and Agent Development
  • Cloud and Infrastructure Solutions
  • Process Automation
  • Data and Analytics Services
  • Digital Transformation Consulting
  • Expert Team Extension and Augmentation

Additionally, we offer software-as-a-service (SaaS) applications, including:

  • Quotation Analyzer: An AI-powered analysis tool that helps businesses identify revenue opportunities by analyzing historical quotation emails. This application requires read-only access to your email account to function.

3. User Accounts and Registration

Certain services may require you to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

4. Email Access Authorization

Certain applications we provide require access to your email account to deliver their functionality. By using these applications, you explicitly authorize FusionOne Technologies to:

  • Access your email account in read-only mode via OAuth 2.0 authentication
  • Read and analyze email messages relevant to the application's functionality
  • Extract and process data from emails for analysis and reporting purposes
  • Generate reports and insights based on the analyzed data

Applications that currently require email access include:

  • Quotation Analyzer: Accesses sent emails to analyze quotation history and identify revenue opportunities

You acknowledge and agree that:

  • We will only access emails necessary for providing the specific application's service
  • We will not modify, delete, or send emails on your behalf
  • You have the authority to grant access to the email account
  • You may revoke access at any time through your email provider's security settings
  • Each application will clearly disclose what email access it requires before authorization

5. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use our services for any fraudulent or deceptive purposes
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or redistribute our services without authorization

6. Intellectual Property

All content, features, and functionality of our services—including but not limited to text, graphics, logos, software, and documentation—are owned by FusionOne Technologies or our licensors and are protected by intellectual property laws.

You retain ownership of any data or content you provide to us. By using our services, you grant us a limited license to use, process, and analyze your data solely for the purpose of providing the requested services.

7. Confidentiality

We treat all client information, including business data, email content, and analysis results, as confidential. We will not disclose your confidential information to third parties except as required by law or with your explicit consent. Our team members are bound by confidentiality obligations.

8. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access. We may occasionally suspend services for maintenance, updates, or security reasons. We will provide reasonable notice when possible.

Support is provided during business hours (Singapore time) via email at [email protected]. Response times may vary based on the nature of your inquiry and service level agreements.

9. Client Cooperation

You acknowledge that successful delivery of our services depends on your timely cooperation. You agree to:

  • Provide all necessary information, access, and materials in a timely manner
  • Make timely decisions and provide approvals as required
  • Designate a primary point of contact with authority to make decisions
  • Ensure availability of your personnel as reasonably required

Delays caused by your failure to fulfill these obligations shall not affect our delivery timelines, and we shall not be liable for any resulting delays or additional costs. We reserve the right to adjust project timelines and fees accordingly.

10. Scope Changes

Any changes to the agreed scope of services must be documented in writing and approved by both parties. You acknowledge that:

  • Requests for work outside the original scope may incur additional fees
  • We will provide a written estimate for any scope changes before proceeding
  • Scope changes may affect project timelines and deliverables
  • We are not obligated to perform work outside the agreed scope without a written change order
  • Verbal requests or informal communications do not constitute approved scope changes

11. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, acts of God, or severe weather events
  • War, terrorism, civil unrest, or government actions
  • Epidemics, pandemics, or public health emergencies
  • Power outages, internet or telecommunications failures
  • Third-party service provider failures beyond our control
  • Strikes, labor disputes, or supply chain disruptions

The affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to mitigate the effects of the force majeure event.

12. Payment Terms

For paid services:

  • Fees are as quoted or as specified in your service agreement
  • A deposit is required before commencement of services, as specified in your service agreement
  • Payment terms are net 30 days from invoice date unless otherwise agreed
  • All fees are in Singapore Dollars (SGD) unless otherwise specified
  • Prices are exclusive of applicable taxes, which will be added where required
  • Late payments shall incur interest at 3% per month on the outstanding amount
  • We reserve the right to suspend services without liability if payment is overdue by more than 14 days
  • All deposits and fees paid are non-refundable unless otherwise specified in writing

13. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" without warranties of any kind, whether express, implied, or statutory
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We expressly exclude liability for any loss of profits, revenue, business, data, goodwill, or anticipated savings, whether direct or indirect
  • Our total aggregate liability shall not exceed the lesser of: (a) the fees paid by you for the specific service giving rise to the claim, or (b) the fees paid in the three (3) months immediately preceding the claim
  • We are not liable for any delays, failures, or errors arising from circumstances beyond our reasonable control

These limitations apply regardless of the legal theory on which the claim is based, including breach of contract, tort, negligence, or any other theory, even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless FusionOne Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

15. Termination

Either party may terminate services:

  • With 30 days' written notice for convenience
  • Immediately upon material breach by the other party that remains uncured for 14 days after written notice
  • Immediately if the other party becomes insolvent or bankrupt

Upon termination:

  • You shall pay for all services rendered up to the date of termination
  • All deposits and fees previously paid are non-refundable
  • Any outstanding invoices become immediately due and payable
  • We will return or delete your data as requested, subject to legal retention requirements
  • Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms or our services shall be resolved through:

  • Good faith negotiation between the parties
  • Mediation under the Singapore Mediation Centre rules if negotiation fails
  • Binding arbitration under SIAC rules if mediation fails

18. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and FusionOne Technologies regarding the subject matter herein.
  • Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
  • Waiver: Failure to enforce any right or provision shall not constitute a waiver.
  • Assignment: You may not assign these Terms without our prior written consent.
